These Terms of Service (the "Terms") are a binding agreement between you and Interview Smile LLC ("Interview Smile," "we," "us," or "our") and govern your access to and use of the website located at securemedassist.com and any associated pages operated by us (collectively, the "Site"). SecureMedAssist ("SMA") is a product of Interview Smile LLC.
By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. You confirm that you have the legal capacity and authority to enter into these Terms. If you do not agree, you must not access or use the Site.
The Site is an informational and marketing website that describes the SecureMedAssist platform, a HIPAA-compliant patient survey and outreach platform built for grant-funded research programs. The Site is provided for general informational purposes only. Nothing on the Site constitutes a binding offer, a warranty of the platform's capabilities, or professional, legal, medical, or compliance advice.
The Site is intended for use by professionals evaluating SMA on behalf of healthcare institutions, research programs, and related organizations. It is not directed to children, and it is not intended for use by individuals seeking medical care. By using the Site you represent that you are at least 18 years of age.
The Site does not provide access to the SMA platform and is not used to collect, store, process, or transmit Protected Health Information (PHI) or patient data. Access to and use of the SMA platform are governed by a separate written agreement between Interview Smile LLC and the contracting organization, including, where applicable, a Business Associate Agreement (BAA) entered into under the Health Insurance Portability and Accountability Act (HIPAA). These Terms do not grant any right to use the SMA platform.

To the fullest extent permitted by law, in no event will Interview Smile LLC or its officers, members, employees, agents, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your access to or use of (or inability to use) the Site, whether based in contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages. To the fullest extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Site will not exceed one hundred U.S. dollars (US$100).
You agree to defend, indemnify, and hold harmless Interview Smile LLC and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Site, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the United States and of the state in which Interview Smile LLC is organized, without regard to its conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in that state to resolve any dispute, subject to any mandatory consumer-protection rights available to you under applicable law.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Interview Smile LLC regarding the Site and supersede any prior agreements on that subject matter. If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign or transfer these Terms without our prior written consent; we may assign them freely. We will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control.
